There was a BDO partner who spoke on the UK IPO process, and then I layered in on top some of the accounting &amp; reporting nuances of doing an IPO in the US.<\/p>\n\n\n\n<p id=\"170ga\">It was a really interesting chat, as we had some candid back &amp; forth between the BDO Partner &amp; myself to understand where some of the differences lie between UK &amp; US IPOs.<\/p>\n\n\n\n<p id=\"2mrbr\">Here were some of the top takeaways:<\/p>\n\n\n\n<p id=\"cfnfa\">1. \ud835\udddc\ud835\ude01&#8217;\ud835\ude00 \ud835\uddf2\ud835\uddee\ud835\ude00\ud835\uddf6\ud835\uddf2\ud835\uddff \ud835\uddf3\ud835\uddfc\ud835\uddff \ud835\ude00\ud835\uddfa\ud835\uddee\ud835\uddf9\ud835\uddf9 \ud835\uddf0\ud835\uddfc\ud835\uddfa\ud835\uddfd\ud835\uddee\ud835\uddfb\ud835\uddf6\ud835\uddf2\ud835\ude00 \ud835\ude01\ud835\uddfc \ud835\uddf9\ud835\uddf6\ud835\ude00\ud835\ude01 \ud835\uddf6\ud835\uddfb \ud835\ude01\ud835\uddf5\ud835\uddf2 \ud835\udde8\ud835\uddde: London has the AIM exchange meant for smaller companies. The US doesn&#8217;t really have a similar concept, so in general, you need to have a larger market cap to think about a US IPO.<\/p>\n\n\n\n<p id=\"hn16\">2. \ud835\udde8\ud835\udde6 \ud835\uddf6\ud835\uddfb\ud835\ude03\ud835\uddf2\ud835\ude00\ud835\ude01\ud835\uddfc\ud835\uddff\ud835\ude00 \ud835\uddee\ud835\uddff\ud835\uddf2 \ud835\uddfa\ud835\uddfc\ud835\uddff\ud835\uddf2 \ud835\uddfc\ud835\uddfd\ud835\uddf2\ud835\uddfb \ud835\ude01\ud835\uddfc \ud835\uddfd\ud835\uddff\ud835\uddf2-\ud835\uddff\ud835\uddf2\ud835\ude03\ud835\uddf2\ud835\uddfb\ud835\ude02\ud835\uddf2 \ud835\uddf0\ud835\uddfc\ud835\uddfa\ud835\uddfd\ud835\uddee\ud835\uddfb\ud835\uddf6\ud835\uddf2\ud835\ude00: This is why a lot of biotechs list in NASDAQ, it may be more appealing to some start up tech companies as well, so long as your equity story can still compel a large enough investment<\/p>\n\n\n\n<p id=\"7gp5l\">3. \ud835\uddea\ud835\uddf5\ud835\uddf6\ud835\uddf9\ud835\uddf2 \ud835\ude01\ud835\uddf5\ud835\uddf2 \ud835\udde8\ud835\uddde \ud835\uddf5\ud835\uddee\ud835\ude00 \ud835\ude01\ud835\uddf5\ud835\uddf2 \ud835\uddd9\ud835\uddd6\ud835\uddd4, \ud835\ude01\ud835\uddf5\ud835\uddf2 \ud835\udde6\ud835\uddd8\ud835\uddd6 \ud835\uddfd\ud835\uddff\ud835\uddfc\ud835\uddf0\ud835\uddf2\ud835\ude00\ud835\ude00 \ud835\uddf0\ud835\uddee\ud835\uddfb \ud835\uddef\ud835\uddf2 \ud835\uddfa\ud835\uddfc\ud835\uddff\ud835\uddf2 \ud835\uddf6\ud835\uddfb\ud835\ude01\ud835\uddf6\ud835\uddfa\ud835\uddf6\ud835\uddf1\ud835\uddee\ud835\ude01\ud835\uddf6\ud835\uddfb\ud835\uddf4: your offering document will have to go through review with either of the regulators in your IPO, however the SEC is definitely seen as a more menacing force. Companies will want to allocate a longer IPO timeline to getting through rounds of their comments to get disclosures up-to-par. There is a better business case here for bringing in an independent IPO advisor to make sure your disclosures are best practice, and hopefully keep the comments to a minimum.<\/p>\n\n\n\n<p id=\"16n0i\">4. \ud835\udddc\ud835\uddfb\ud835\ude01\ud835\uddf2\ud835\uddff\ud835\uddfb\ud835\uddee\ud835\uddf9 \ud835\uddf0\ud835\uddfc\ud835\uddfb\ud835\ude01\ud835\uddff\ud835\uddfc\ud835\uddf9\ud835\ude00 \ud835\uddfb\ud835\uddf2\ud835\uddf2\ud835\uddf1 \ud835\ude01\ud835\uddfc \ud835\uddef\ud835\uddf2 \ud835\uddee\ud835\uddf1\ud835\uddf1\ud835\uddff\ud835\uddf2\ud835\ude00\ud835\ude00\ud835\uddf2\ud835\uddf1, \ud835\uddfb\ud835\uddfc \ud835\uddfa\ud835\uddee\ud835\ude01\ud835\ude01\ud835\uddf2\ud835\uddff \ud835\ude04\ud835\uddf5\ud835\uddf2\ud835\uddff\ud835\uddf2 \ud835\ude06\ud835\uddfc\ud835\ude02 \ud835\uddf4\ud835\uddfc: Sure SOX is seen as a 4 (ehrm 3)-letter-word around US IPOs, but the UK also addresses controls by way of other reporting requirements during IPO, such as having ICFR stood up to support the FPPP report that a UK reporting accountant writes.<\/p>\n\n\n\n<p id=\"d4jpr\">5. \ud835\uddda\ud835\uddf2\ud835\ude01 \ud835\uddff\ud835\uddf2\ud835\uddee\ud835\uddf1\ud835\ude06 \ud835\uddf3\ud835\uddfc\ud835\uddff \ud835\ude01\ud835\uddf5\ud835\uddee\ud835\ude01 \ud835\uddda\ud835\uddd4\ud835\uddd4\ud835\udde3 \ud835\uddf0\ud835\uddfc\ud835\uddfb\ud835\ude03\ud835\uddf2\ud835\uddff\ud835\ude00\ud835\uddf6\ud835\uddfc\ud835\uddfb: A lot of UK private companies are still using UK GAAP. You will likely need IFRS for a UK listing. And if you&#8217;ll meet the requirements for an FPI in the US, you&#8217;d get to use IFRS there as well!<\/p>\n\n\n\n<p id=\"69ar8\">Do you have any specific questions on these differences?
